TERMS OF SERVICE


1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Briwill e-commerce platform and all related services (collectively, the "Platform") operated by Briwill Limited, a company registered under the laws of the Federal Republic of Nigeria (CAC Registration No. [8937142]).

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Refund Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Platform.

2. Eligibility

To register and use the Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement under Nigerian law
  • Provide accurate, current, and complete registration information
  • ot be barred from using the Platform under any applicable law
  • Comply with all applicable Nigerian laws and regulations

By creating an account, you represent and warrant that you meet all eligibility requirements. Briwill reserves the right to verify eligibility at any time and to terminate accounts that do not comply.

3. User Accounts

When you create an account on the Platform, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately at support@briwill.co of any unauthorised use of your account

You may not create more than one account without our express written permission. We reserve the right to suspend or permanently terminate accounts that violate these Terms, provide false information, or engage in fraudulent or harmful conduct.

4. Buying on the Platform

4.1 Orders and Availability

All orders are subject to product availability and seller confirmation. Placing an order constitutes an offer to purchase; a binding contract is formed when the seller confirms the order and payment is processed.

4.2 Pricing

All prices are displayed in Nigerian Naira (NGN / ₦) and are inclusive of applicable VAT unless stated otherwise. The price displayed and confirmed at checkout is the binding price for your order. Prices on the Platform may be updated from time to time; such updates do not affect confirmed orders.

4.3 Payment

Payment must be made in full at the time of purchase. We accept payment by debit/credit card, bank transfer, USSD, and digital wallet, processed securely through our licensed payment partners. Briwill does not store your card details. See our Payment Partners' privacy policies for details on how payment data is handled

4.4 Delivery

Estimated delivery timeframes are provided at checkout and are indicative only, not guaranteed. Shipping costs are calculated and displayed at checkout. You are responsible for providing an accurate and complete delivery address. Risk of loss and title pass to you upon delivery to your stated address. For items damaged or missing at delivery, you must report this to us within 24 hours via support@briwill.co

4.5 Returns and Refunds

Returns and refunds are governed by our Refund Policy, available at briwill.com.ng/refund-policy. Key terms include:

  • Eligible items may be returned within 7 days of confirmed delivery
  • Items must be unused, in original condition, with all tags and packaging intact
  • Non-returnable items include perishables, personalised items, digital products, and items expressly marked as final sale
  • Refunds are processed to the original payment method within 5–10 business days of return confirmation
  • Return shipping costs are the responsibility of the buyer unless the item was defective or incorrectly sent

5. Selling on the Platform

5.1 Seller Eligibility and Registration

To sell on Briwill, you must complete the seller registration process, agree to the Seller Agreement ( will soon be available at briwill.co/seller-agreement)and provide valid business or personal identification - documents as required for KYC (Know Your Customer) verification.

5.2 Seller Obligations

  • Provide accurate, complete, and truthful product titles, descriptions, images, and pricing
  • Fulfil confirmed orders within the stated processing time
  • Comply with all applicable Nigerian laws, including consumer protection and product safety regulations
  • Ensure all products listed are authentic, legally sourced, and not counterfeit, stolen, or prohibited
  • Maintain professional and respectful communication with buyers
  • ot use buyer personal data (shared by Briwill) for any purpose other than order fulfillment

5.3 Seller Fees and Payments

Seller fees, commissions, and payout schedules are detailed in the Seller Agreement and the Seller Fee Schedule will be available soon at briwill.co/seller-agreement. Sellers receive payment after successful order fulfillment and the expiry of the buyer's return window, minus applicable fees. Briwill reserves the right to withhold payment where a transaction is under dispute or investigation.

5.4 Seller Liability

Sellers are solely responsible for the quality, safety, legality, and accuracy of their product listings. Briwill acts as a marketplace intermediary and is not the seller of any product listed by third-party sellers. In the event of a buyer-seller dispute, Briwill will facilitate a resolution process as described in Section 11

6. Prohibited Items and Activities

6.1 Prohibited Items

he following items may not be listed or sold on the Platform:

  • Counterfeit, pirated, or trademark-infringing products
  • Stolen goods
  • Illegal drugs, controlled substances, or drug paraphernalia
  • Weapons, firearms, ammunition, or explosive materials
  • Products that infringe third-party intellectual property rights
  • Hazardous materials or substances
  • Human organs, tissues, or body parts
  • HProducts prohibited under Nigerian law or regulations

6.2 Prohibited Activities

Users (buyers and sellers) agree not to:

  • Provide false, inaccurate, or misleading information
  • Engage in fraudulent transactions or chargebacks
  • Manipulate product reviews or ratings
  • Use automated bots, scrapers, or scripts to access or interact with the Platform
  • Interfere with or disrupt the Platform's infrastructure or security
  • Circumvent or attempt to bypass any security features
  • Harass, threaten, abuse, or harm other users
  • Impersonate any person or entity
  • Create multiple accounts to abuse promotions or circumvent bans
  • Use the Platform to facilitate money laundering or other financial crimes

7. Intellectual Property

The Platform and all its contents — including software, design, text, graphics, logos, and trademarks — are owned by or licensed to Briwill Limited and are protected under Nigerian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not reproduce, modify, distribute, reverse-engineer, or create derivative works from any Platform content without our prior written consent

By listing products on the Platform, sellers grant Briwill a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote their product content (images, descriptions, etc.) on the Platform and in related marketing materials.

8. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BRIWILL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

Briwill is a marketplace intermediary. We do not manufacture, inspect, or warrant any products listed by third-party sellers. Product quality, accuracy of listings, and seller conduct are the sole responsibility of each seller.

We will endeavour to provide at least 48 hours' notice of planned maintenance or downtime. Unplanned outages will be communicated as promptly as reasonably possible via our website and social media channels.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, BRIWILL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Our total aggregate liability to you for all claims arising from your use of the Platform shall not exceed the total amount you paid to Briwill in the twelve (12) calendar months immediately preceding the event giving rise to the claim

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be lawfully excluded under Nigerian law.

10. Taxes and Financial Compliance

Buyers are responsible for any applicable import duties or levies on delivered goods. Sellers are solely responsible for their own VAT registration, collection, remittance, and compliance with all tax obligations under the Federal Inland Revenue Service (FIRS) regulations and the Finance Act. Briwill does not provide tax advice. Sellers should consult a qualified tax professional regarding their obligations

11. Dispute Resolution

11.1 Buyer-Seller Disputes

In the event of a dispute between a buyer and seller, If unresolved within 5 business days, either party may escalate to Briwill's dispute resolution team at support@briwill.com. Briwill will review evidence submitted by both parties and issue a decision within 10 business days. Briwill's decision is final for purposes of any payment hold or release on the Platform

11.2 Disputes with Briwill

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be submitted to mediation or binding arbitration administered by Imo state Judiciary Hearings in accordance with its rules. The seat of arbitration shall be imo, Nigeria. The language of proceedings shall be English. Each party shall bear its own costs unless the arbitral tribunal orders otherwise. The arbitral award shall be final and binding.

NOTE: You retain the right to seek urgent injunctive relief from a Nigerian court of competent jurisdiction pending the outcome of arbitration.

12. Termination

Briwill may suspend or terminate your account and access to the Platform at any time, with or without prior notice, where we reasonably believe you have violated these Terms, engaged in fraudulent activity, or where required by law.

Upon termination, your right to use the Platform ceases immediately. Outstanding orders at the time of termination will be handled in accordance with our Refund Policy. You may still exercise your data rights under the Privacy Policy by contacting support@briwill.co within 30 days of account termination

You may close your account at any time by contacting support@briwillco. Closure is subject to resolution of any outstanding transactions, disputes, or liabilities.

13. Changes to These Terms

Briwill reserves the right to amend these Terms at any time. For material changes, we will notify you by email to your registered address and/or by a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and may close your account

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings not subject to arbitration under Section 11 shall be submitted to the exclusive jurisdiction of the courts of Imo State, Nigeria.
